Well, Paul, this is what I know:

1) Having 2 RTL-8139- based cards in a system, and loading 8139too makes
   both cards Just Work.
2) I am, however, loading a hell of a lot of stuff modular, including the
   ethernet drivers.  It probably makes quite a bit of difference.
3) I am also running 2.4.2-pre3, just slightly behind the bleeding edge;
   therefore I probably have newer drivers.

My suggestion to fix your problem:  compile a 2.4.1 kernel, with a modular
8139too, and see what you get.
